This is a collaboration agreement between 5th & Westwood, LLC and Independent Contractor allowing image consultant (stylist) with common interest to pursue common objectives. Collaboration agreements are used when both parties work together and each side meets its own cost.

 

Reason for The Contract:

 

5th and Westwood, LLC engages service(s) with Independent Contractor for Fashion Styling as follows:

• Select items to appear in fashion magazines/media

• Select clothing for TV personalities, celebrities or the wardrobe for film or TV characters.

• Source fashion items and props for photographic shoots or film/tv personalities, or product placement in fashion magazines/media.

• Perform pulls from retail stores, designers, and/or boutique owners

• Perform fittings with client(s)

• Advise on photographic approaches and the selection of locations, props, clothing, models, makeup artists, photographers, hair stylists and the overall look for photo shoots.

• Advise and direct the photography of items and clothing selected for promotion.

• Provide fashion direction to buyers, merchandisers and/or product developers/designers.

• Provide makeup and hair styling services to clients or complete makeup and hair styling on location for photo shoots.

• Liaise with fashion designers, retailers, the media, models/model agencies, photographers, makeup artists, hairdressers, beauty therapists, personal trainers and the media

• Speak at events about image and fashion trends.

Protected Information Including:

 

Independent Contractor Expenses: During the term of this agreement, the Independent Contractor shall bill 5th and Westwood, LLC for all products, services, and goods cost expenses. If we are billed on behalf of the Independent Contractor, we will enforce our reimbursement procedure by billing your account directly in which you have given us. This matter must be taking care of within 2-3 business days or we surrender all collaboration duties.

 

Our Promise of Ownership of Work Product: Any and all inventions, discoveries, developments, and innovations created by the Independent Contractor during this term relative to the duties under this agreement shall be exclusive property of you. 

 

Your Promise of Ownership of Work Product: All inventions, discoveries, developments, and innovations created by 5th and Westwood, LLC during this term relative to the duties under this agreement shall be exclusive property to us.

Independent contractors who want to collaborate with 5th and Westwood are asked to fill out and send a COLLABORATION INTAKE FORM with information about the project and/or participants.

A “collaboration” is different from sponsored project.

​

Independent contractors and collaborators should be aware of two key differences between collaborations and sponsored projects. First, both parties to the collaboration are performing essential task to the project. Second, since no funding is provided by the collaborator,5th and Westwood  must fund these activities by other means, such as gifts or other available funds.

This Agreement is in good faith in which both parties mutually.

 

I understand that all information provided on this form will remain completely confidential and will not be shared with any third parties.  I understand that this agreement term with 5th and Westwood, LLC are provided for the basic purpose of the company’s needs. If I experience any illicit or sexuality discomfort during my term, I will immediately inform the company or call client service and immediately terminate our term, as well as write a letter to the headquarters office explaining why I choose to terminate within 7 business day.
